Terms of Service
These Terms of Service ("Terms") govern your access to and use of the websites, applications, APIs, and services operated by KTR Capital, LP, a Texas limited partnership ("Helios", "we", "us", or "our"), accessible at helios.markets and related domains (collectively, the "Service"). By accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. If you accept these Terms on behalf of an entity, you represent that you are authorized to bind that entity.
2. Description of the Service
Helios provides market structure analytics, signals, and AI-generated commentary related to equities and listed options. The Service is delivered through a web portal and through REST and WebSocket APIs. The Service is informational only and is not investment advice. Refer to the Risk Disclosure for the full statement.
3. Accounts
To access most features you must create an account. You are responsible for the accuracy of registration information, for safeguarding your credentials and API keys, and for all activity occurring under your account. Notify us immediately of any unauthorized use.
4. Subscription, Billing, and Cancellation
- The Service is offered in tiered subscriptions (Tier 1 free, Tier 2, Tier 3) with prices displayed at helios.markets/app/billing.
- Paid subscriptions are billed in advance through Stripe. By subscribing you authorize recurring charges to your payment method until you cancel.
- You may cancel at any time through the Service or by contacting us. Cancellation takes effect at the end of the then-current billing period; you will retain access until that date.
- Except where required by law, all fees are non-refundable for partial billing periods. We do not provide pro-rata refunds for unused time.
- Prices may change with thirty (30) days' notice.
5. Acceptable Use
You agree not to:
- Resell, redistribute, sublicense, or republish the Service or its Content to any third party.
- Reverse engineer, scrape, mirror, or systematically extract Content beyond your authorized API rate limits.
- Share API keys or account credentials with anyone outside your organization.
- Use the Service to develop a competing product.
- Attempt to disrupt the Service, probe for vulnerabilities outside a coordinated disclosure process, or violate any applicable law.
6. Intellectual Property
All Content, software, designs, trademarks, and underlying technology are owned by KTR Capital, LP or its licensors and are protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal use during the term of your subscription. No other rights are granted.
7. Third-Party Services
The Service uses third-party providers for authentication (Google), payment processing (Stripe), and hosting. Your use of those services is governed by their respective terms and privacy policies.
8. Privacy
Our collection and use of personal information is described in the Privacy Policy, which is incorporated into these Terms.
9. Risk Disclosure Incorporated
The Risk Disclosure & No Investment Advice document is incorporated into these Terms by reference. By using the Service you agree to its contents.
10. No Investment Advice
Helios is not a registered investment adviser, broker-dealer, or other regulated investment professional. The Service does not constitute investment advice or a recommendation to buy, sell, or hold any security. See the Risk Disclosure for the full statement.
11. Disclaimer of Warranties
The service and all content are provided "as is" and "as available" without warranty of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, KTR Capital, LP disclaims all warranties, including without limitation the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that the service will meet your requirements or that any signal will produce a profit.
12. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will KTR Capital, LP, its affiliates, partners, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, lost trading profits, lost revenue, lost data, or business interruption, arising out of or in connection with these Terms or the service, regardless of the theory of liability and even if advised of the possibility of such damages.
In no event will the aggregate liability of KTR Capital, LP arising out of or relating to these Terms or the service exceed the greater of (a) one hundred U.S. dollars or (b) the fees you actually paid to us in the twelve months immediately preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless KTR Capital, LP, its affiliates, and their respective partners, officers, employees, and agents from any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (i) your use of the Service, (ii) any trading or investment decisions you make, (iii) your breach of these Terms, or (iv) your violation of any law or third-party right.
14. Termination
We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including for breach of these Terms. Upon termination, your license to use the Service ceases. Sections 6, 11, 12, 13, 15, and 16 survive termination.
15. Governing Law; Venue; Jury Trial Waiver
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any action arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Harris County, Texas, and you irrevocably consent to the personal jurisdiction of those courts. Each party irrevocably waives any right to a trial by jury.
16. Class Action Waiver
You and KTR Capital, LP each agree that any dispute will be brought solely in your individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.
17. Modifications
We may update these Terms from time to time. Material changes will be notified by posting the updated Terms with a new effective date and, where appropriate, by email or in-product banner. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
18. Severability; Entire Agreement
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. These Terms, together with the Privacy Policy and Risk Disclosure, constitute the entire agreement between you and Helios regarding the Service.
